Terms of Service

Zroton is a WhatsApp Business automation platform that lets you run broadcast campaigns, manage customers/contacts, and track delivery analytics on top of the Meta WhatsApp Business Platform. The Service is provided on a subscription basis with usage-based message quotas, as described on our Pricing page.

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Your use of the Service to send WhatsApp messages is subject to Meta's WhatsApp Business Messaging Policy, Commerce Policy, and related platform terms, in addition to these Terms. You are solely responsible for:

• Obtaining valid opt-in consent from each contact before messaging them.
• Using approved message templates and complying with Meta's content and category policies.
• Honoring opt-out requests and applicable messaging frequency limits.
• The accuracy of contact data you upload or import.

We may suspend or throttle campaigns to protect your phone number quality rating, and we are not responsible for actions taken by Meta against your WhatsApp Business Account, including template rejections, quality downgrades, or account restrictions, whether or not caused by your use of the Service.

Paid plans, addons, and message credits are billed through Razorpay in accordance with the pricing, quota, and renewal terms shown at checkout and on our Pricing page. Subscriptions renew automatically until cancelled. Except as required by law or expressly stated otherwise, fees are non-refundable.

You are responsible for providing accurate billing details, including GSTIN where applicable, and for any taxes associated with your purchase. We may suspend access to paid features if a payment fails or a subscription lapses.

You agree not to use the Service to:

• Send unsolicited, deceptive, or unlawful messages, including spam, phishing, or malware.
• Upload or process contact data you do not have a lawful right to use.
• Violate any applicable law, including data protection, consumer protection, or anti-spam regulations.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Resell or white-label the Service without our prior written consent.

You retain all ownership rights to the customer/contact data, campaign content, and other materials you upload to the Service ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to provide the Service to you.

You are solely responsible for Your Content and for ensuring it does not infringe any third-party rights or violate applicable law.

The Service, including its software, design, and branding, is owned by ZROTON AUTOMATIONS Pvt Ltd and protected by intellectual property laws. See our Copyright Policy for details. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

The Service integrates with third-party platforms, including Meta (WhatsApp Business Platform), Razorpay (payments), Brevo (email delivery), and Firebase (authentication). Your use of these integrations is also subject to the respective third party's own terms and policies, which we do not control.

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, misuse the Service, fail to pay fees due, or if required to do so by Meta or applicable law. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing cycle.

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation, or that message delivery, template approval, or account quality outcomes controlled by Meta will meet your expectations.

To the maximum extent permitted by law, ZROTON AUTOMATIONS Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. Our aggregate liability for any claim shall not exceed the fees you paid us in the twelve (12) months preceding the claim.

You agree to indemnify and hold ZROTON AUTOMATIONS Pvt Ltd harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of India.

We may update these Terms from time to time. Material changes will be notified via email or an in-app notice, and continued use of the Service after the effective date of such changes constitutes acceptance of the revised Terms.
